                                        FINANCIAL PACKAGING AND COMMUNICATIONS

    Business plans, corporate information memos,  private placement memos, board presentations and  
    similar financing packages are key documents that are used in the internal and external approval of
    new ventures, acquisitions, joint ventures, alliances and trade and project financing opportunities.

    IDF's philosophy is that these documents should accurately and thoroughly discuss the merits and
    risks of a proposed joint venture, acquisition, or trade or project financing, for use in transparent and
    objective corporate and institutional approval processes.  These packages should be concise yet
    thorough, easy to understand,  and should use credible third party data and a reasonable amount of
    graphics to illustrate key points.

    There is an urgency to most acquisition, joint venture and new project situations, yet the preparation
    of financing and approval packages can require substantial work.  It can be beneficial for companies
    to use an independent and experienced financial consulting firm in due diligence and in financial
    packaging for a number of reasons, including:

  • The consulting firm can provide dedicated focus complete the project on a timely basis.  
  • While the involvement of corporate management and development teams will be required,
    these professionals have full-time responsibilities and usually cannot dedicate the continuous
    time required to assemble a professional financial package.
  • The use of an independent firm helps to ensure more objectivity in the development of the
    presentation than if it were prepared by professionals whose compensation is directly tied to
    booking transactions.
  • Some projects are highly confidential, particularly acquisitions and divestitures, and it can be
    beneficial to limit the number of employees involved in, and aware of such transactions.

    The specific format of a particular financial package will vary, depending on the complexity of the
    business, the jurisdiction of the business, whether the business is a core (well known) business or a
    new business, the risks inherent in the business and the keys to its success.
